Terms & Conditions
These terms set the ground rules for creators who run offers through VIPSubscribePro and customers who purchase access from them.
By creating an account, using the Service, or completing a purchase, you agree to these Terms. Creator-specific terms, privacy notices, and refund rules also apply to each purchase.
01Agreement and eligibility
These Terms & Conditions (“Terms”) govern access to the VIPSubscribePro website, dashboard, Telegram bots and mini apps, checkout, payment facilitation, access automation, messaging, and related services (the “Service”). The platform operator and primary contracting entity is Crudocean LLC, a limited liability company organised in Wyoming, United States. Crudville, a company registered in Ghana, is the contracting entity for the payment-processing activities it provides through Paystack and Cashramp. “VIPSubscribePro”, “we”, “us”, or “our” means Crudocean LLC and, for those Ghana or regional payment activities, Crudville.
You must be at least 18 years old and legally capable of entering a binding contract to create a creator account. If you use the Service for a business or organisation, you represent that you have authority to bind it, and “you” includes that entity. Customers under the age of legal majority may use the Service only with permission and supervision legally sufficient in their location and only where the creator’s offer is suitable for them.
02Our role and the creator’s role
VIPSubscribePro supplies technology that helps independent creators list digital offers, accept supported payments, communicate with customers, and automate access to Telegram communities and other benefits. Unless checkout expressly says otherwise, the creator—not VIPSubscribePro—is the seller and provider of the offer. The creator decides the offer’s content, price, access period, eligibility, fulfilment, community rules, and refund policy.
VIPSubscribePro is not responsible for the accuracy, legality, quality, safety, availability, or results of creator content or advice. We do not endorse any creator or guarantee earnings, audience growth, trading performance, investment outcomes, or other results. A creator’s policies form an agreement between the creator and customer. If those policies conflict with these Terms, these Terms govern use of the platform, and the creator’s policies govern the offer to the extent permitted by law.
03Accounts and security
- Provide accurate, current information and keep it updated.
- Protect passwords, passkeys, two-factor recovery codes, Telegram accounts, bot tokens, and payout credentials.
- Use only accounts, bots, channels, payment methods, and payout destinations you are authorised to control.
- Notify us promptly of suspected unauthorised access or payout changes.
- Accept responsibility for activity under your account unless caused by our failure to use reasonable care.
We may require identity, business, ownership, bank, tax, source-of-funds, or other verification before enabling features or releasing funds. We may reject or suspend unverifiable accounts.
04Creator obligations
Creators must:
- describe offers, pricing, renewal terms, access periods, limitations, and refund rights truthfully and prominently;
- deliver purchased content or access on time and provide reasonable customer support;
- publish accurate terms, privacy, and refund policies at checkout and honour them;
- obtain all rights and permissions needed for content, customer communications, Telegram communities, and personal information;
- comply with consumer, marketing, intellectual-property, privacy, tax, financial-promotion, sanctions, and other applicable laws;
- avoid misleading earnings, health, legal, financial, or performance claims; and
- respond promptly to refunds, disputes, chargebacks, security requests, and regulatory enquiries.
Creators are responsible for determining and paying their own taxes, duties, levies, and reporting obligations except where we state that we will collect or remit an amount. We may request information or withhold amounts where reasonably necessary for compliance.
05Payments, fees, and payouts
Supported payment methods may include cards, bank transfer, mobile money, cryptocurrency, or manual payment. Availability, currency conversion, processing time, and provider charges vary by country, creator, and provider.
Platform fees. Creators authorise us to deduct the platform fee shown in the dashboard or applicable pricing plan, plus disclosed processing, currency-conversion, dispute, refund, reserve, or payout charges. Our public standard plan may change prospectively on notice; the rate shown for the creator’s account at the time of a transaction controls.
Payouts. Payout estimates are not guarantees. Funds may be delayed, held, reserved, reversed, converted, or deducted where reasonably necessary for settlement timing, negative balances, refunds, chargebacks, suspected fraud, legal compliance, provider action, or risk. Creators authorise us and our providers to debit or set off amounts owed against current or future balances. The creator remains liable for a negative balance and must pay it on demand.
Entity and provider allocation. Crudocean LLC handles international payment processing through Stripe. Crudville handles specified payment processing through Paystack and Cashramp. The payment option and checkout record determine which entity and provider handle a transaction. Using a payment or payout method may require acceptance of the provider’s terms and verification. We are not responsible for a provider’s independent outage, rejection, exchange rate, frozen account, or delay, but we will use reasonable efforts to reflect confirmed status accurately.
Cryptocurrency. Cryptocurrency processing is provided through independent third-party processors and applicable blockchain networks and is not processed by Crudocean LLC or Crudville. Their separate terms, fees, verification requirements, and privacy practices apply. Blockchain transactions may be irreversible. Customers must use the exact asset, network, address, and amount shown. Loss caused by using an incompatible network, incorrect address, or underpayment may be unrecoverable.
06Purchases, access, renewals, and refunds
A customer authorises the selected payment when confirming checkout and confirms that the purchase information is accurate. Access begins when payment or manual review is confirmed, unless the creator states otherwise. Telegram access requires a valid Telegram account and compliance with Telegram’s rules and the creator’s community rules.
Plans may be time-limited, recurring, or lifetime as described at checkout. “Lifetime” means the commercially reasonable life of the relevant offer or community, not the life of any individual, and remains subject to these Terms, the creator’s policies, and lawful closure of the Service or offer. No automatic renewal occurs unless checkout clearly identifies a recurring payment and captures the required authorisation.
Refund eligibility is governed by the creator’s displayed refund policy and mandatory law. Customers should contact the creator first. VIPSubscribePro may facilitate a refund or act where required by law, a payment provider, or our risk rules, but does not promise a refund outside those circumstances. A refund, reversal, or chargeback may result in immediate removal of access. Customers must not use a chargeback as a substitute for first raising a genuine service issue, but nothing here limits a lawful right to dispute a payment.
07Acceptable use
You may not use the Service to create, sell, promote, transmit, or facilitate:
- illegal activity, fraud, deceptive schemes, impersonation, money laundering, sanctions evasion, or unauthorised financial services;
- child sexual abuse material, sexual exploitation, non-consensual intimate material, human trafficking, or content that endangers children;
- terrorism, credible threats, targeted harassment, unlawful hate, or instructions intended to cause serious harm;
- malware, credential theft, spam, phishing, scraping that violates law or access controls, or interference with the Service;
- counterfeit, stolen, infringing, or privacy-violating content or goods;
- regulated goods or services without every required licence and our prior written approval; or
- claims or content that are materially false, misleading, or likely to expose users or VIPSubscribePro to harm.
You may not reverse engineer the Service except where law expressly permits it, bypass limits or security, resell access to the Service without permission, manipulate fees or referrals, or use automated means that burden the Service. We may remove content, restrict features, hold payouts, or suspend accounts while investigating suspected violations.
08Content and intellectual property
You retain ownership of content you submit. You grant VIPSubscribePro a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, transmit, and display that content only as needed to operate, secure, promote, and improve the Service and fulfil purchases. You represent that you have the rights needed to grant this licence.
The Service, including its software, visual design, branding, and documentation, belongs to VIPSubscribePro or its licensors. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Service for its intended purpose. Feedback may be used without restriction or payment, without identifying you publicly unless you agree.
Report alleged infringement to privacy@vipsubscribepro.com with identification of the work, the material, your contact details, and a good-faith statement of your authority and claim.
09Communications and third-party services
You agree to receive electronic records and operational communications needed for accounts, purchases, payments, access, security, and legal updates. Creators must send marketing or broadcasts only to people they are permitted to contact and must honour opt-outs.
The Service interoperates with third parties such as Telegram and payment providers. Their products are governed by their own terms. We may change, replace, or discontinue an integration if the provider changes access, if it becomes insecure or unlawful, or for operational reasons.
10Suspension and termination
You may stop using the Service at any time and may request account closure, subject to unresolved balances, disputes, and retention required by law. We may suspend or terminate access, remove content, or limit payments or payouts if we reasonably believe you breached these Terms, created risk or harm, owe money, failed verification, or if required by law or a provider.
Where practical and safe, we will give notice and an opportunity to cure. Serious fraud, security, legal, or safety risks may require immediate action. Terms that by nature should survive—including payment obligations, licences already needed to complete transactions, disclaimers, liability limits, and dispute provisions—continue after termination.
11Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, continuous availability of any integration, a particular payment outcome, creator earnings, customer results, or permanent access to creator content. Statutory rights that cannot lawfully be excluded remain unaffected.
12Limitation of liability
To the maximum extent permitted by law, VIPSubscribePro and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, data, goodwill, business opportunity, or digital-asset value.
Our aggregate liability arising from the Service will not exceed the greater of (a) fees paid to VIPSubscribePro by you in the six months before the event giving rise to the claim or (b) US$100. This limit does not apply to liability that cannot legally be limited, including liability arising from fraud or wilful misconduct where applicable. Payment amounts merely collected for a creator are not “fees paid to VIPSubscribePro.”
13Creator indemnity
If you are a creator, you will defend, indemnify, and hold harmless VIPSubscribePro and its personnel from third-party claims, losses, penalties, and reasonable costs arising from your offers, content, community, customer relationship, taxes, breach of these Terms, violation of law, or infringement of another person’s rights, except to the extent caused by VIPSubscribePro’s own breach or misconduct. We will provide reasonable notice and permit you to control the defence, while retaining the right to participate.
14Governing law and disputes
For use of the platform and transactions handled by Crudocean LLC, these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. For payment-processing activity handled by Crudville through Paystack or Cashramp, the laws of Ghana govern that activity. Mandatory consumer protections in the customer’s place of residence remain unaffected.
Before filing a claim, you and the relevant VIPSubscribePro entity agree to try in good faith for 30 days to resolve it informally by emailing privacy@vipsubscribepro.com with a description of the issue and requested resolution. If it is not resolved, courts of competent jurisdiction in Wyoming have non-exclusive jurisdiction over claims against Crudocean LLC, and courts of competent jurisdiction in Ghana have non-exclusive jurisdiction over claims concerning payment activity handled by Crudville. This does not prevent a party from seeking urgent injunctive relief or using a regulator, small-claims procedure, or mandatory consumer forum available under applicable law.
15Changes and general terms
We may update these Terms. Material changes will be announced through the Service or by email and will apply prospectively from the stated effective date. Continuing to use the Service after that date constitutes acceptance; if you do not agree, stop using the Service before the changes take effect.
You may not assign these Terms without our consent. We may assign them as part of a restructuring, financing, merger, acquisition, or transfer of the Service. If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A delay in enforcement is not a waiver. These Terms, the Privacy Policy, applicable pricing, and policies expressly incorporated at checkout form the agreement concerning the Service.
